These Terms of Service ("Terms") govern your access to and use of the CarShipOS platform and website (the "Service"), provided by CarShipOS. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorized to bind it.
1. The Service
CarShipOS is a transportation management platform for auto-transport brokers. We may update, add, or remove features over time.
2. Accounts and eligibility
You must provide accurate information and be at least 18 years old and able to form a binding contract.
You are responsible for your account credentials and all activity under your account. Notify us promptly of any unauthorized use. We strongly recommend enabling two-factor authentication.
3. Subscriptions, billing, and trials
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor. Fees are as described at purchase.
Unless stated otherwise, subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
Except where required by law or stated in our Refund Policy, fees are non-refundable. Taxes are your responsibility where applicable.
If a trial is offered, it converts to a paid plan unless cancelled before the trial ends.
4. Customer data and responsibilities
You retain ownership of the data you submit ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service.
You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to provide it, including any personal information about your own customers and carriers, and for complying with applicable laws (including privacy, marketing/anti-spam, and telemarketing laws) when using the Service to send communications.
5. Acceptable use
You agree not to: misuse or interfere with the Service; attempt to gain unauthorized access; reverse engineer except as permitted by law; send unlawful, infringing, deceptive, or abusive content; transmit malware; or use the Service to violate the rights of others or any law.
We may suspend or limit access to protect the Service, other customers, or to address violations or security risks.
6. Third-party integrations
The Service can connect to third-party services (for example, Google, Zoho, payment processors, and dispatch boards). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and connecting them is at your discretion.
7. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by CarShipOS or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.
If you provide feedback, you grant us a perpetual, royalty-free license to use it.
8. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim.
11. Indemnification
You will defend and indemnify us against claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your violation of third-party rights.
12. Term and termination
These Terms apply while you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate access for material breach, non-payment, or as required by law.
Upon termination, your right to use the Service ends. We will make Customer Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted.
13. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Florida, United States, except that either party may seek injunctive relief to protect its intellectual property or confidential information.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
